| “三权分置”为土地经营权入股有限公司提供了可能,农民将土地经营权入股有限公司后转化为农民股东,由于土地承包经营权的特殊性,农民股东与非农民股东存在种种差异。农民股东天然的弱势地位使其股东权在出资评估、表决权行使、利润分配、退出机制以及破产清算中易受侵害。经营权入股应当是债权入股。实践中,对经营权作价时应参考农用地评价体系,并应在农地股有限公司合理分配农民股东的表决权,同时,农民股东的利润分配应以累计参加优先股计算,此外,应建立以优先购买权和失地农业保险为基础的破产清算制度,以实现对农民股东权的有效保护。 |

| The Protection of Farmer Shareholder Rights under "Three Rights Division" of Land Contractual Management Right |

| Abstract: |
| The reform of "three rights division" provides possibility of buying the share of limited liability company with the land contractual management right. Farmers become farmer shareholders after buying the share of limited liability company with the land contractual management right. Because of the particularity of the land contractual management right, farmer shareholders are different from non-farmer shareholders. The natural weak position of the farmer shareholders makes their shareholder rights vulnerable to infringement in the evaluation of investment, the exercise of voting rights, the distribution of profits, the mechanism of withdrawal and the bankruptcy liquidation. Buying the share of limited liability company with the land contractual management right should be seen as buying the share with credit. In practice, we should refer to the evaluation system of agricultural land in rating pricing, and farmer shareholders voting right should be reasonably allocated. At the same time, we should calculate the profit distribution of the farmer shareholders according to accumulated participating preferred stock. In addition, in order to protect the right of farmer shareholders, we should establish bankruptcy system based on preferential purchase rights and landless agricultural insurance. |
