| 设立中公司的民事主体资格现行法律未予明确,实务和理论界见解不一。 从设立中公司的特殊的团体性构造分析,设立中公司是公司设立过程中的一种客观存在物。基于对设立中公司的客观存在的能动回应和实现公司法的政策目标的现实所需,中国公司立法应赋予设立中公司民事主体资格,并规定其民事主体资格法定化的方式及基本内容。 |

| Qualifications of civil subject of establishing corporation is not yet defined as there are different views in practice and theory. Analyzing from its special group structure, establishing corporation is an objective existence in the process of the corporation being set up. Based on the active response to objective existence of establishing corporation and the practical need to realize the policy objective of the company law, the company law should provide establishing corporation qualifications of civil subject and the statutory form and basic content of it in our country. |
